Terms and Conditions

These Terms and Conditions ("Terms") govern your use of the website and health coaching services offered by Vickie Padavano Coaching ("we," "us," "our," "the Practice"). By booking a session, purchasing a program, or using our website, you ("Client," "you") agree to be bound by these Terms. If you do not agree, please do not use our services.

1. Description of Services

Vickie Padavano Coaching provides health coaching and functional wellness education services, including but not limited to root-cause lifestyle coaching, lab test facilitation, educational content, supplement guidance, digital products, and online courses ("Digital Products"). Services are delivered virtually and/or in person, as arranged.

2. Not Medical Advice — Important Health Disclaimer

Coaching services, digital products, and courses provided through this Practice are educational and supportive in nature and do NOT constitute the practice of medicine, nursing diagnosis, psychotherapy, or any other licensed healthcare service.

We do not diagnose, treat, cure, or prevent any disease or medical condition.

Nothing shared in coaching sessions, lab reviews, content, or materials is intended as a substitute for professional medical advice, diagnosis, or treatment.

You should always seek the advice of your physician or other qualified health provider with any questions regarding a medical condition, and before making changes to medication, supplements, or treatment plans.

Never disregard professional medical advice or delay seeking it because of something you read or discussed with us.

If you are experiencing a medical emergency, call 911 or go to your nearest emergency room immediately.

3. Eligibility and Client Responsibilities

You must be at least 18 years old to use our services. By enrolling, you represent that you are legally able to enter this agreement and that all health information you provide is accurate and complete to the best of your knowledge.

You agree to consult your physician before beginning any new diet, exercise, supplement, or lifestyle protocol discussed in coaching, particularly if you are pregnant, nursing, have a pre-existing condition, or take prescription medication.

4. Lab Testing and Third-Party Vendors

Lab tests may be facilitated through third-party providers such as Rupa Health and Evexia Diagnostics. Supplement recommendations may be fulfilled through Fullscript, Designs for Health, or Quicksilver Scientific. Client management, scheduling, and program delivery may be handled through Practice Better and Biochanics. These are independent third parties; we are not responsible for their pricing, shipping, product quality, platform availability, or services, which are governed by their own terms.

5. Digital Products and Online Courses

We offer digital products and self-paced online courses ("Digital Products") for purchase through our website or a third-party course hosting platform.

Access: Upon purchase, you will receive access to the Digital Product as described at the time of sale. Access may be time-limited or subject to platform availability.

License, not ownership: Purchasing a Digital Product grants you a limited, non-transferable, non-exclusive license for your personal use only. You may not copy, resell, share, distribute, or repost course materials, videos, guides, or content in whole or in part.

No refunds on digital delivery: Because Digital Products are delivered electronically and access is granted immediately upon purchase, all sales of Digital Products are final and non-refundable, except where required by law.

Educational purpose only: Digital Products are for general educational purposes and are not personalized medical or clinical advice. The disclaimers in Section 2 apply equally to all Digital Products and courses.

Platform changes: We reserve the right to update, modify, or discontinue a Digital Product or course, or migrate it to a different hosting platform, at our discretion, provided existing purchasers retain reasonable access to purchased content.

6. Payment, Fees, and Refunds

Program and session fees are due as described at the time of purchase or booking.

Fees for lab testing, supplements, and other third-party products are separate from coaching program fees and are non-refundable once ordered.

Coaching program fees are non-refundable once services have begun, except as otherwise stated in a signed client agreement.

We reserve the right to change pricing for future services at any time.

7. Cancellations and Rescheduling

Sessions must be canceled or rescheduled at least 24 hours in advance. Late cancellations or no-shows may be subject to a fee or forfeiture of the session, as described in your client agreement.

8. Confidentiality

We respect your privacy and handle your personal and health information in accordance with our Privacy Policy. We will not share your information with third parties except as necessary to provide services or as required by law.

9. Assumption of Risk

You acknowledge that health coaching involves inherent risks, including but not limited to risks associated with dietary changes, supplement use, and lifestyle modifications. You voluntarily assume all such risks.

10. Limitation of Liability

To the fullest extent permitted by law, Vickie Padavano Coaching, its owner, employees, and contractors shall not be liable for any indirect, incidental, special, or consequential damages, or for any loss of health, income, or other damages arising out of or related to your use of our services, website, or content. Our total liability for any claim arising from these Terms or our services shall not exceed the amount you paid for the services giving rise to the claim.

11. Indemnification

You agree to indemnify and hold harmless Vickie Padavano Coaching and its owner, employees, and contractors from any claims, damages, losses, or expenses arising out of your use of our services, your violation of these Terms, or your violation of any rights of a third party.

12. Intellectual Property

All content provided through our website, programs, and materials — including but not limited to written guides, protocols, videos, graphics, and branding — is the property of Vickie Padavano Coaching and is protected by copyright and other intellectual property laws. You may not reproduce, distribute, or share this content without our written permission.

13. Testimonials and Results

Individual results vary. Testimonials or examples shared reflect individual experiences and are not a guarantee of specific outcomes for any client.

14. Termination

We reserve the right to terminate or refuse services to any client at our discretion, including for non-payment, abusive conduct, or failure to follow program guidelines.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Florida, without regard to conflict of law principles. Any disputes arising out of these Terms or our services shall be resolved through good-faith negotiation and, if necessary, in the state or federal courts located in Florida.

16. Changes to These Terms

We may update these Terms from time to time. The updated version will be posted with a revised effective date. Continued use of our services after changes take effect constitutes acceptance of the updated Terms.
